IMPORTANT — PLEASE READ CAREFULLY. These Terms and Conditions ("Terms") govern your access to and use of YOY AI, including the desktop application, mobile companion app, associated software, services, and features (collectively, "YOY" or the "Service"). By downloading, installing, or using YOY, you enter into a legally binding agreement with YOY AI Limited, a company incorporated in Hong Kong SAR ("YOY AI," "we," "us," or "our"). If you do not agree to these Terms, do not install or use the Service.
AGENTIC AI NOTICE: YOY is an autonomous AI agent capable of executing actions on your computer, including controlling software applications, accessing your file system, executing shell commands, taking screenshots, browsing the web, and performing scheduled automated tasks. You are solely responsible for all actions YOY takes on your behalf. Review Section 7 (Agentic AI & Autonomous Actions) carefully before enabling these features.
By installing YOY, creating an account, or clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms, our End User Licence Agreement (EULA) governing the desktop application, and our Privacy Policy (each incorporated by reference). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
We may update these Terms from time to time. Material changes will be notified via the application or your registered email address with at least 14 days' notice before taking effect (except for changes required by law or urgent security matters, which may take effect immediately). Your continued use of YOY after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to updated Terms, you must discontinue use and uninstall YOY.
These Terms, together with our Privacy Policy and any supplemental terms applicable to specific features, constitute the entire agreement between you and YOY AI regarding the Service, and supersede all prior agreements, representations, and understandings.
YOY AI is a desktop AI agent application built for macOS, Windows, and Linux. YOY connects to large language model providers (including OpenAI, Anthropic, Google, and local models via Ollama) to provide an intelligent personal assistant with the following capabilities (availability varies by tier):
YOY is currently offered as a beta product. Features may be incomplete, change without notice, or be removed. Beta access is provided "AS IS" without warranties as to stability or fitness for purpose. We reserve the right to discontinue the beta, impose usage limits, or require migration to a paid tier.
YOY acts as an interface to third-party AI providers. Use of those providers is subject to their own terms of service. YOY AI is not responsible for the policies, outputs, or availability of any third-party AI provider.
You must be at least 13 years of age to use YOY. If you are between 13 and 18 years of age, you must have explicit consent from a parent or legal guardian who agrees to these Terms on your behalf. If YOY learns that a user under 13 has created an account without verified parental consent, that account will be terminated immediately.
Features involving shell command execution, agentic file system operations, and App Control (Section 7) are intended for users aged 18 and over who have sufficient technical understanding to evaluate the risk of AI-directed system actions.
You confirm that you have full legal capacity to enter into a binding contract. Use of YOY is void where prohibited by applicable law.
YOY is available in jurisdictions where such services are lawfully offered. We make no representation that the Service is appropriate or available in all locations. It is your responsibility to ensure compliance with local laws.
You must provide accurate, current, and complete information when creating an account. You agree to keep your account information updated.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
You are responsible for everything that happens under your account, whether or not you authorised it, except to the extent caused by our gross negligence or wilful misconduct.
You may delete your account at any time through the application settings or by contacting [email protected]. Account deletion will purge your cloud-synced data in accordance with our Privacy Policy. Locally stored data must be removed manually.
You agree to use YOY only for lawful purposes and in compliance with these Terms, all applicable laws and regulations, and the rights of others.

We reserve the right to suspend or terminate access, remove content, and take any other action we deem appropriate in response to violations of this Section 5. We may report suspected illegal activity to law enforcement.
YOY uses AI language models that generate probabilistic outputs. These outputs are not deterministic, may vary for identical inputs, and are not independently verified by YOY AI. AI outputs may be inaccurate, incomplete, misleading, offensive, or factually wrong. This phenomenon — commonly called "hallucination" — is an inherent characteristic of current large language model technology.
YOU ACKNOWLEDGE AND AGREE THAT:
Use of YOY does not create any professional, advisory, fiduciary, or regulated relationship between you and YOY AI. No output constitutes legal advice, medical advice, financial advice, psychological counselling, or any other professional service.
You are solely responsible for reviewing, evaluating, and determining the appropriateness of any AI output before using, sharing, or acting on it. This responsibility cannot be waived or transferred.
This section governs YOY's most powerful and potentially consequential features. Read it carefully.
YOY is capable of taking actions on your computer autonomously, including but not limited to: creating, reading, editing, moving, and deleting files; controlling software applications via UI automation; executing shell commands; browsing and interacting with websites; managing calendar events and contacts; sending communications at your direction; and performing all of the above on an automated schedule without your real-time review.
By enabling any agentic feature, you explicitly authorise YOY to perform the relevant category of action on your behalf. You understand and accept that:
YOU ACCEPT SOLE AND FULL RESPONSIBILITY FOR:
YOY may execute tasks on a schedule without your real-time presence or oversight. You assume full responsibility for the outcomes of all scheduled and unattended task executions. We strongly recommend limiting the scope of scheduled tasks to reversible, low-risk operations and regularly reviewing scheduled task configurations.
During browser automation and App Control operations, YOY may encounter content on third-party websites or within third-party applications that is designed — intentionally or unintentionally — to influence, redirect, or override the AI agent's behaviour ("injected instructions"). This is an inherent limitation of current AI agent technology.
YOU ACKNOWLEDGE AND ACCEPT THAT:
You should exercise particular caution when using browser automation on websites you do not control or trust.
YOY depends on third-party AI providers (including OpenAI, Anthropic, Google, and local models via Ollama) to process requests and generate instructions for agentic actions. In the event that a third-party AI provider experiences service interruption, API error, rate limiting, or unexpected output changes during an active agentic or scheduled task:
You are solely responsible for monitoring in-progress agentic tasks and for maintaining appropriate backups and safeguards to recover from partial task completion scenarios.
YOY App Control allows YOY AI to open, navigate, interact with, and automate third-party desktop software applications installed on your device, including but not limited to browsers, productivity suites, creative tools, communication apps, and system utilities.
By enabling App Control for any application, you explicitly grant YOY permission to interact with that application on your behalf. You understand this includes simulating keystrokes, mouse clicks, text input, menu navigation, file open/save operations, and any other UI interactions within that application.
You represent and warrant that:
YOY AI is not liable for any of the following arising from App Control use:
YOU MUST EXERCISE EXTREME CAUTION when enabling App Control in applications involving:
YOY AI strongly recommends that you disable App Control for such applications and instead use manual review of AI suggestions only. If you choose to enable App Control for high-risk applications, you do so entirely at your own risk and irrevocably assume all liability for any resulting actions or consequences.
You agree to indemnify, defend, and hold harmless YOY AI from any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to your use of App Control, including claims by third-party software vendors, affected parties, or any other person harmed as a result of AI-directed software automation on your device.
App Control for applications that are primarily used for banking, investment, payment processing, cryptocurrency management, or other financial transactions ("Financial Applications") requires additional in-application consent beyond acceptance of these Terms.
Before enabling App Control for any Financial Application:
YOY AI strongly recommends against enabling automated, unattended financial transactions. You are solely responsible for all transactions, transfers, payments, or investment actions completed by YOY operating within any Financial Application, whether the actions were intended or resulted from AI error, misinterpretation, or unintended instruction execution. This includes but is not limited to: stock trading, cryptocurrency transfers, bank transfers, and payment submissions.
By installing YOY, you consent to automatic software updates. YOY is designed to update automatically to ensure security, stability, and feature continuity. This includes mandatory security patches and version upgrades delivered without per-update user consent.
Automatic updates may:
Updates may be installed automatically in the background, with or without a notification, depending on the update type and your notification settings.
Security-critical updates may be pushed and applied immediately without prior notice. You cannot opt out of security updates. This is a safety measure to protect you, your data, and other users. If you do not consent to mandatory security updates, you must uninstall YOY.
Your continued use of YOY after an update has been applied constitutes your acceptance of the updated version and any associated changes to features, functionality, or these Terms (where Terms changes are separately notified per Section 1.2).
YOY AI is not liable for any of the following arising from automatic updates:
The auto-update system transmits the following anonymous data to YOY AI's update servers: (a) your current YOY version number; (b) your operating system type and version; (c) an anonymous, randomly-generated device identifier (no personal data). This data is used solely for update delivery and version tracking. See our Privacy Policy for full details.
YOY requests access to specific system resources when you enable corresponding features. You grant or deny each permission category independently. Granting permission does not waive any protections under these Terms.
When File System Access is enabled, YOY may read, create, modify, move, and delete files in directories you configure. You are solely responsible for:
Shell command execution is a high-privilege, high-risk feature. YOY will present shell commands for your explicit confirmation before executing them in the default configuration. You acknowledge that:

When screen capture features are enabled, YOY will take screenshots of your display and transmit them to AI vision providers (including but not limited to OpenAI, Anthropic, or Google, depending on your configured model). You acknowledge that:
When clipboard features are enabled, YOY may read and write to your system clipboard. Clipboard data may include sensitive information. YOY processes clipboard data locally and only transmits it to AI providers when you explicitly request clipboard-related AI assistance.
YOY requires internet access to communicate with AI providers, perform web searches, deliver updates, and access cloud features. You acknowledge that:
When YOY performs browser automation, interacts with websites, fills forms, or submits data on your behalf, you are solely responsible for ensuring that such automated interactions comply with the terms of service, acceptable use policies, and access controls of each website accessed. YOY AI:
You indemnify YOY AI against any third-party claims arising from automated browser interactions conducted under your account.
When microphone access features are enabled, YOY may activate your device's microphone to capture audio for AI processing (including voice commands and speech-to-text transcription). You acknowledge that:
YOY AI and its licensors own all rights, title, and interest in and to YOY, including all software, algorithms, models, interfaces, branding, documentation, and other materials. Nothing in these Terms grants you any ownership rights in YOY. Your use of YOY is a limited, non-exclusive, non-transferable, revocable licence subject to these Terms.
You retain all rights to content, data, files, and prompts you provide to YOY ("Your Content"). You grant YOY AI a limited, worldwide licence to process Your Content solely as necessary to provide the Service to you.
Subject to Section 11.4, AI outputs generated by YOY in response to your inputs are assigned to you to the extent permissible by applicable law. However:
You bear all intellectual property risk associated with how you use AI outputs. YOY AI is not liable for any intellectual property infringement claims arising from:
Before using any AI output commercially or publicly, you are responsible for conducting appropriate due diligence regarding intellectual property clearance.
YOY AI will not use Your Content — including your conversations, prompts, files, inputs, memory data, or personal information — to train, fine-tune, or otherwise improve any AI model, without your explicit, separately obtained written consent. YOY AI will not permit any third party to train AI models on Your Content without such consent.
This commitment is a core expression of the "You Own Your AI" philosophy. Your interactions with YOY are yours. They are not data to be harvested for model improvement.
For the avoidance of doubt: anonymous, aggregated, non-personal telemetry (as described in Section 9.6 and the Privacy Policy) is not "Your Content" and is not covered by this commitment.
YOY incorporates open-source software components licensed under permissive and copyleft-compatible licences. A complete list of open-source components, their respective licences, and applicable attribution notices is available at yoyai.io/open-source-notices.
Your use of YOY is subject to the applicable open-source licence terms in addition to these Terms, solely with respect to the relevant open-source components. Open-source components are used in accordance with their respective licence terms and are not sub-licensed to you as part of the YOY proprietary licence.

YOY AI respects intellectual property rights and expects users to do the same. If you believe that content accessible through or generated by YOY infringes your copyright, please send a written notice to [email protected] with the subject line "Copyright Notice" containing the following:
1. A description of the copyrighted work you claim has been infringed
2. Identification of the material you claim is infringing, with sufficient detail for us to locate it
3. Your contact information (name, address, telephone number, and email)
4. A statement that you have a good faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law
5. A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorised to act on the copyright owner's behalf
6. Your physical or electronic signature
YOY AI will review all valid copyright notices and respond in accordance with applicable law. We reserve the right to remove or disable access to content alleged to be infringing and to terminate accounts of repeat infringers.
"YOY," "YOY AI," the YOY logo, and associated product names and marks are trademarks or trade names of YOY AI Limited (collectively, "YOY Marks"). Nothing in these Terms grants you any right, licence, or interest in or to the YOY Marks.
You must not:
Any unauthorised use of the YOY Marks is a breach of these Terms and may constitute trademark infringement under applicable law.
Your privacy matters deeply to us. YOY is built on the philosophy of "You Own Your AI" — your data stays on your device wherever possible. Our Privacy Policy (available at yoyai.io/privacy and incorporated into these Terms by reference) explains:
By using YOY, you consent to the collection and use of information as described in our Privacy Policy.
YOY is currently offered as a free beta product. We may introduce paid tiers in the future with advance notice. Continued free access during beta does not entitle you to any specific features being available in any future paid product.
When paid tiers are introduced:
YOY does not currently offer service level commitments or credits for downtime, interruption, or degraded performance.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
14.1 YOY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
14.2 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM YOY AI OR THROUGH THE SERVICE, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
14.3 YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR DEVICE, LOSS OF DATA, OR OTHER HARM RESULTING FROM YOUR USE OF YOY, INCLUDING FROM AGENTIC ACTIONS, SHELL EXECUTION, APP CONTROL, OR AUTOMATIC UPDATES.
14.4 HONG KONG CONTROL OF EXEMPTION CLAUSES ORDINANCE (CAP. 71): To the extent required by the Control of Exemption Clauses Ordinance (Cap. 71, Laws of Hong Kong), any exclusion or limitation of liability in these Terms applies only insofar as it satisfies the requirement of reasonableness under that Ordinance. Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation. Where you are dealing as a consumer under Hong Kong law, statutory implied terms and consumer protections apply to the extent they cannot lawfully be excluded.
14.5 HONG KONG SUPPLY OF SERVICES (IMPLIED TERMS) ORDINANCE (CAP. 457): Where YOY is supplied to you as a consumer, implied terms as to reasonable care and skill under the Supply of Services (Implied Terms) Ordinance (Cap. 457, Laws of Hong Kong) may apply and cannot be excluded. To the extent permitted by law, our liability for breach of such implied terms is limited to re-supply of the relevant services.
14.6 EU AI ACT TRANSPARENCY NOTICE (EEA USERS): For users accessing YOY from within the European Economic Area: YOY AI is an artificial intelligence system. This disclosure is provided pursuant to Article 50 of the EU AI Act (Regulation 2024/1689). You are interacting with an AI system. YOY AI's automated decisions and outputs are generated by artificial intelligence and should be reviewed by you before being acted upon.
14.7 HONG KONG AI GOVERNANCE: YOY AI has regard to the Digital Policy Office's Ethical Artificial Intelligence Framework (July 2024) and the Generative Artificial Intelligence Technical and Application Guidelines (April 2025) in its development and operation of the YOY platform. These frameworks are voluntary guidelines; they do not create legally enforceable obligations but reflect our commitment to responsible AI development in accordance with Hong Kong's AI governance principles.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOY AI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY:
EVEN IF YOY AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, PRODUCT LIABILITY, OR OTHERWISE).
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING THE CONTROL OF EXEMPTION CLAUSES ORDINANCE CAP. 71), YOY AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF YOY, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED HKD $100.00 (ONE HUNDRED HONG KONG DOLLARS).
This fixed cap applies to all users including paid-tier users, beta users, and free-tier users. It applies regardless of the form of action (contract, tort, or otherwise) and regardless of whether YOY AI has been advised of the possibility of such liability.
This cap applies to the fullest extent permitted under the Control of Exemption Clauses Ordinance (Cap. 71). Where a court determines that this cap does not satisfy the reasonableness requirement under that Ordinance in the specific circumstances of a particular claim, the cap shall be set at the minimum amount required to satisfy reasonableness in those circumstances.
The limitations in this Section 15 reflect a reasonable allocation of risk between the parties and are a fundamental element of the basis of the bargain between YOY AI and you. YOY AI would not be able to provide the Service on economically viable terms without these limitations.
Nothing in this Section 15 limits any liability that cannot lawfully be excluded or limited under the Control of Exemption Clauses Ordinance (Cap. 71), the Supply of Services (Implied Terms) Ordinance (Cap. 457), the Misrepresentation Ordinance (Cap. 284), or any other applicable mandatory law of Hong Kong or other applicable jurisdiction.
Any claim arising under or in connection with these Terms must be brought within two (2) years of the date the cause of action arose, notwithstanding the Limitation Ordinance (Cap. 347) which provides a six-year default period for contract claims. You agree that this contractually shortened limitation period is reasonable given the nature of the Service. This limitation does not apply to claims that cannot lawfully be time-barred by contract.
You agree to defend, indemnify, and hold harmless YOY AI and its affiliates, directors, officers, employees, contractors, agents, suppliers, and licensors from and against any and all claims, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(a) Your use of YOY, including any agentic actions, App Control operations, shell command executions, file system operations, or scheduled tasks performed under your account;
(b) Your breach, or alleged breach, of these Terms;
(c) Your violation of any applicable law or regulation, including the Crimes Ordinance (Cap. 200, Laws of Hong Kong) s.27A, the CFAA, or the Computer Misuse Act 1990;
(d) Damage caused by agentic AI actions to third-party software, systems, data, or individuals where such actions occurred under your account;
(e) Content, data, files, or instructions you provided to YOY that infringe any third-party intellectual property right or violate applicable law;
(f) Your use of App Control in a manner that violates a third-party software vendor's terms of service, causes data loss or damage, or triggers any third-party claim;
(g) Your use of shell execution features, including any system damage, data loss, or security breach resulting from shell commands executed under your account;
(h) Any claim that outputs generated by YOY at your direction infringe any third-party intellectual property right;
(i) Your misrepresentation in connection with your use of YOY;
(j) Any fraud, misuse, or wilful misconduct by you or your agents.
YOY AI will: (a) promptly notify you in writing of any claim subject to indemnification; (b) give you sole control of the defence and settlement (provided you do not settle any claim that imposes liability or obligation on YOY AI without our prior written consent); and (c) provide reasonable cooperation. YOY AI reserves the right to participate in the defence of any claim at its own expense.
You may stop using YOY at any time by uninstalling the application and deleting your account. Instructions for account deletion are available in app settings or by contacting [email protected].
We may suspend or terminate your access to YOY at any time, with or without notice, if:

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China ("Hong Kong SAR"), without regard to its conflict of laws principles.
For any matter not subject to arbitration under Section 19, you and YOY AI submit to the non-exclusive jurisdiction of the courts of Hong Kong SAR. YOY AI reserves the right to bring proceedings in any court of competent jurisdiction.
Nothing in this Section limits any rights you may have under mandatory consumer protection or data privacy legislation in your jurisdiction of residence that cannot lawfully be excluded by choice of law. Users in the EU/EEA retain rights under applicable EU law; users in the UK retain rights under applicable UK law; users in other jurisdictions retain any non-excludable statutory rights applicable to them locally.
Before commencing formal proceedings, the party raising a dispute must provide written notice to the other party describing the dispute in reasonable detail. The parties agree to attempt in good faith to resolve the dispute through direct negotiation for a period of 30 days from the date of the notice ("Negotiation Period").
If the dispute is not resolved through good faith negotiation within the Negotiation Period, it will be finally resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time of commencement of arbitration (currently the 2024 Rules). The seat of arbitration will be Hong Kong SAR. The language of the proceedings will be English. The number of arbitrators will be one (1), to be appointed in accordance with the HKIAC Rules.
Hong Kong is one of the world's premier arbitration seats, and HKIAC awards are internationally enforceable under the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, to which over 170 countries are party. This clause is intentionally chosen to provide you with a neutral, internationally respected forum.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, REPRESENTATIVE ACTION, OR MULTI-PARTY PROCEEDING AGAINST YOY AI. All disputes must be brought individually. This waiver is a material term of these Terms, and the parties would not enter into this agreement without it.
Nothing in this Section 19 prevents you from lodging a complaint with:
Individual users retain the right to pursue small claims in a court of competent jurisdiction where the applicable procedural rules of that court permit and the claim value falls within the court's small claims limit.
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm, pending the outcome of arbitration. YOY AI may also apply for emergency arbitrator relief under the HKIAC Rules.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.
YOY AI's failure to enforce any right or provision in these Terms will not constitute a waiver of that right or provision unless acknowledged and agreed in writing.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. YOY AI may freely assign these Terms, including in connection with a merger, acquisition, corporate restructure, or sale of assets, with notice to you.
YOY AI will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure failures, supply chain disruption, or force majeure events. In the event of a force majeure event, any agentic or scheduled tasks in progress may be interrupted, terminated, or fail to complete. YOY AI is not liable for the state of any systems, files, or data resulting from such task interruption or partial completion.
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and YOY AI.
These Terms, together with our Privacy Policy and any applicable supplemental terms, constitute the entire agreement between you and YOY AI regarding YOY and supersede all prior or contemporaneous communications, representations, or agreements.
You agree to comply with all applicable export control laws and regulations. You represent that you are not located in a country subject to a US or UN embargo, and that you are not on any prohibited persons list.
These Terms are drafted in the English language. Any translation provided is for convenience only. In the event of any inconsistency between the English version and a translation, the English version prevails.
